Terms of Service

Plain Language Summary

DocuBroker provides AI-assisted EU customs compliance software on a subscription basis. You remain responsible for verifying all AI outputs before acting on them. Our liability to you is limited to the fees you have paid in the last 12 months. These terms are governed by French law.

Acceptance of Terms and Parties

These Terms of Service ("Terms") constitute a legally binding agreement between JPS Growth SAS, a company incorporated in France, operating under the brand name DocuBroker ("DocuBroker", "we", "us", "our"), and the individual or entity that creates an account or uses the DocuBroker platform ("you", "Customer").

By creating an account, clicking "I agree", or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are agreeing on behalf of a business, you represent that you have authority to bind that business to these Terms.

If you do not agree to these Terms, do not use the Service.

The Service

DocuBroker provides a cloud-based software platform (the "Service") that uses artificial intelligence to assist EU businesses with customs compliance tasks, including:

  • HS/TARIC code classification for EU Combined Nomenclature (CN8/CN10)
  • Extraction and structuring of data from customs documents (commercial invoices, packing lists, CMR documents)
  • Generation of customs documents
  • CBAM (Carbon Border Adjustment Mechanism) quarterly monitoring and annual declaration support
  • Sanction and restricted-party screening against EU, UN, OFAC, and UK lists
  • ERP integration (Odoo, SAP Business One) where enabled by your subscription plan

The Service is provided subject to the limitations described in these Terms. DocuBroker may update, modify, or discontinue features at any time with reasonable notice.

Accounts and Access

Registration

You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at hello@docubroker.eu if you become aware of any unauthorised use of your account.

Eligibility

The Service is intended for use by businesses and professionals. By registering, you represent that you are at least 18 years old and are using the Service for professional or business purposes.

Free tier

We offer a free tier of the Service subject to usage limits set out on our pricing page. The free tier does not require a payment method. We reserve the right to modify or withdraw the free tier at any time with 30 days' notice.

Subscriptions and Billing

Subscription plans

Paid subscriptions (Pro and Compliance) are billed monthly in advance. Subscription fees, limits, and features are set out on our pricing page at docubroker.eu/pricing and may be updated with notice to you.

Payment processor

All payments are processed by Lemon Squeezy, which acts as the Merchant of Record. EU VAT is calculated and remitted by Lemon Squeezy. Your billing data is governed by Lemon Squeezy's own terms and privacy policy.

Overage charges

If you exceed your plan's monthly document generation allowance, overage charges of €0.60–€0.90 per document (depending on plan and document type) apply. Overages are consolidated and charged at the end of each billing month.

Auto-renewal

Subscriptions renew automatically on a monthly basis unless cancelled. You may cancel at any time through your account settings or by contacting us; cancellation takes effect at the end of the current billing period.

Price changes

We will give you at least 30 days' prior notice of any subscription price increase. Continued use after the price change takes effect constitutes your acceptance of the new price.

Refunds

Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

  • Use the Service to engage in, facilitate, or assist in any fraudulent, illegal, or deceptive customs declarations or trade activities
  • Circumvent, disable, or interfere with security features of the Service
  • Attempt to gain unauthorised access to any part of the Service, its servers, or databases
  • Scrape, copy, or redistribute Service data or AI outputs for resale without our written consent
  • Upload or transmit malware, viruses, or any code designed to harm the Service or its users
  • Use the Service to screen sanctioned parties for the purpose of facilitating trade with them
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Use the Service in a manner that places disproportionate load on our infrastructure

We reserve the right to suspend or terminate accounts that violate this section without prior notice.

Your Data and Content

Your content

You retain all rights to the documents, data, and content you upload to the Service ("Customer Content"). By uploading Customer Content, you grant DocuBroker a limited, non-exclusive, worldwide licence to process and store that content solely as necessary to deliver the Service to you.

Data accuracy

You are responsible for ensuring that Customer Content you upload is accurate, lawfully obtained, and does not infringe the rights of any third party.

Data deletion

Upon termination of your account, we will delete or anonymise your Customer Content within 90 days, except where we are required to retain it by applicable law.

AI Outputs and Accuracy

Important: DocuBroker uses AI to assist with customs compliance tasks. AI outputs are provided as guidance only and do not constitute legal, regulatory, or customs advice. You must independently verify all HS codes, CBAM calculations, sanction screening results, and document content before using them in any customs declaration or regulatory submission.

HS/TARIC classification

AI-generated classifications are suggestions based on your product description. Final responsibility for correct HS code selection rests with you as the importer or exporter of record.

CBAM reporting

DocuBroker generates CBAM reports based on data you provide and EU default emission factors. You are responsible for ensuring the accuracy of your supplier emission data and for submitting declarations to the EU CBAM Registry.

Sanction screening

DocuBroker screens against available sanction lists but cannot guarantee that every currently sanctioned entity will be identified. Screening results are not a substitute for independent legal advice.

Document generation

Generated documents must be reviewed for accuracy before use in any commercial or customs transaction.

DocuBroker is not liable for any penalties, fines, customs duties, delays, or losses arising from reliance on AI outputs without independent verification.

Data Processing (GDPR)

To the extent that you are an EU-based business and use the Service to process personal data contained in uploaded documents, DocuBroker acts as a data processor on your behalf and you act as the data controller. We process personal data only on your documented instructions and for the purpose of delivering the Service. Full details are set out in our Privacy Policy at docubroker.eu/privacy-policy.

Intellectual Property

Our IP

The Service, including its software, algorithms, user interface, documentation, and all related intellectual property, is owned by DocuBroker or its licensors. Nothing in these Terms grants you any right, title, or interest in the Service other than the limited right to use it.

Feedback

If you submit feedback or suggestions about the Service, you grant DocuBroker a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose.

Trademarks

DocuBroker and the DocuBroker logo are trademarks of JPS Growth SAS. You may not use our trademarks without prior written consent.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. To the fullest extent permitted by applicable law, DocuBroker disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • (a) the Service will be uninterrupted or error-free;
  • (b) AI-generated outputs will be accurate, complete, or fit for any particular regulatory purpose;
  • (c) the Service will meet your specific compliance requirements without independent professional review.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

Limitation of Liability

Aggregate Cap

To the maximum extent permitted by applicable law, DocuBroker's total cumulative liability to you shall not exceed the total fees paid by you to DocuBroker in the twelve months immediately preceding the event giving rise to the claim.

In no event shall DocuBroker be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, business, data, or goodwill
  • Customs penalties or fines arising from reliance on AI-generated outputs
  • Sanctions violations or regulatory penalties
  • Costs of procuring substitute services

Indemnification

You agree to indemnify and hold harmless DocuBroker and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your Customer Content
  • Any customs declaration or trade document you produce using the Service
  • Your violation of any applicable law
  • Any infringement of third-party rights by you

Suspension and Termination

By you

You may close your account at any time by contacting us at hello@docubroker.eu or through your account settings.

By us

We may suspend or terminate your access immediately if you breach these Terms, your payment is overdue by more than 14 days, we are required to do so by law, or we reasonably believe your use poses a risk to us or others.

Effect of termination

On termination, your right to access the Service ceases immediately. Sections 7, 9, 10, 11, 12, and 15 survive termination.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

Governing Law and Disputes

These Terms are governed by the laws of France. Any dispute shall be subject to the exclusive jurisdiction of the competent courts of France, without prejudice to any mandatory consumer protection provisions applicable in your country of residence.

If you are a consumer in the European Union, you may also bring disputes before local consumer protection authorities or use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr. ec.europa.eu/consumers/odr.
